FRESH SOUTHERN CHEF TERMS AND CONDITIONS

Please read this agreement carefully to ensure you understand each provision. By accessing or using the Fresh Southern Chef ("FSC") website (the "Site") or placing an order, you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. These Terms govern all purchases, orders, and the general use of the Site.

ARBITRATION NOTICE: THIS AGREEMENT REQUIRES YOU TO USE ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND ALSO LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

General Terms

Acceptance of Terms
By accessing, using the Site, or placing an order, you accept and agree to these Terms and our Privacy Policy. If you do not agree, you must cease using the Site immediately. FSC reserves the right to amend these Terms at its discretion, and any changes will take effect 30 days after posting. Continued use of the Site signifies acceptance of the modified Terms. You are responsible for staying informed about any changes by checking this page periodically.

Eligibility
The Site is available to users 18 years of age or older who reside in the United States, its possessions, or territories. By using the Site, you represent that you meet these eligibility criteria. You are responsible for complying with local laws if you access the Site from outside the United States.

Intellectual Property
All content on the Site, including but not limited to text, images, graphics, and code, is the property of FSC or its licensors and is protected by U.S. and international copyright laws. You may not reproduce, distribute, or modify any content from the Site without FSC's express written consent.

Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law principles.

Severability and Waiver
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. FSC’s failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

Entire Agreement
These Terms and the Privacy Policy represent the entire agreement between you and FSC regarding the use of the Site and the purchase of its products. Any prior agreements or understandings, oral or written, are superseded by these Terms.

Account and Payment Terms

Account Security
You are responsible for maintaining the confidentiality of your account information. FSC is not liable for any unauthorized access or use of your account. FSC reserves the right to modify or discontinue the Site or any services provided through the Site without notice.

Subscription Services
By subscribing to FSC’s meal delivery service, you agree to automatic billing for each recurring order at the then-current price. You can cancel your subscription at any time by contacting us at least [timeframe] before the next billing cycle. Failure to cancel within this period will result in the charge and delivery of your next order.

Payment and Pricing
FSC accepts various forms of payment, including credit cards and debit cards. By providing payment information, you authorize FSC to charge you for the total amount of your order, including applicable taxes and delivery fees. FSC reserves the right to adjust pricing or offer promotions at any time without notice.

Order Cancellation
Cancellations must be made prior to the weekly cutoff time to receive a full refund. FSC may not accommodate requests for cancellations made after this deadline.

Refunds and Credits
FSC provides refunds or credits solely for meals that are damaged or missing. You must notify FSC at hello@freshsouthernchef.com within 5 days of delivery for any refund requests. FSC reserves the right to require return or photo documentation of the damaged or unsatisfactory product before issuing a refund or credit. Refunds are not available for dissatisfaction with flavor preferences.

Delivery and Shipping Terms

Delivery Errors
FSC is not responsible for delivery errors caused by incorrect or incomplete information provided by the customer. If FSC determines that the delivery error was the fault of the carrier, we will issue a replacement order or products at no charge. If the error was due to the customer, FSC will offer one courtesy replacement shipment per year at a 50% discount.

Force Majeure
FSC is not liable for any failure to fulfill orders due to circumstances beyond our control, including but not limited to natural disasters, pandemics, labor strikes, supplier issues, or transport disruptions. FSC will make reasonable efforts to inform customers of any such delays.

Meal Preparation and Dietary Terms

Health Information
It is your responsibility to consult with your physician before ordering FSC meals if you have any medical conditions. This includes, but is not limited to, individuals who are pregnant, nursing, have eating disorders, or have chronic medical conditions. FSC assumes no liability for adverse health consequences that may arise from the consumption of its products.

Meal Consumption and Freshness
All meals should be consumed or stored appropriately according to the instructions provided upon delivery. FSC is not responsible for any illness or injury that may result from improper storage, handling, or consumption of meals after the recommended consumption date.

Allergens and Dietary Restrictions
FSC meals may be prepared in facilities that handle allergens such as nuts, soy, dairy, eggs, shellfish, etc. It is the customer’s responsibility to inform FSC of any dietary restrictions or allergies. FSC cannot guarantee that cross-contamination will not occur. By placing an order, you acknowledge that FSC is not liable for any allergic reactions or dietary-related health issues.

Nutrition Information
Nutritional information on the Site is updated periodically and may change without notice. You are responsible for reviewing this information before placing your order. Nutritional information provided on the Site is based on standard serving sizes and is intended for general information purposes only. Actual nutritional values may vary based on ingredient sourcing, preparation methods, and cooking alterations.

Food Substitution Policy
FSC reserves the right to substitute meals if certain ingredients or meals become unavailable. While FSC strives to meet the dietary preferences of customers, substituted items may contain allergens or ingredients not present in the original order. You are responsible for reviewing all ingredient information and notifying FSC of any specific dietary restrictions.

Customer Conduct and Responsibility Terms

User-Generated Content
By submitting or posting content on FSC's Site, including reviews or feedback, you grant FSC a non-exclusive, irrevocable, worldwide, perpetual license to use, reproduce, modify, and display that content. You represent that you have the rights to submit such content and that it does not infringe any third-party rights. FSC reserves the right to remove any content at its discretion.

Prohibited Conduct
You agree not to engage in any of the following prohibited activities on the Site:

Violating any applicable laws or regulations.

Posting content that infringes on the intellectual property or privacy rights of others.

Distributing harmful software such as viruses, malware, or trojans.

Harassing, threatening, or abusing other users.

Engaging in unauthorized advertising or solicitation.

FSC reserves the right to terminate access to the Site for users who violate these Terms.

Customer Accounts
Customers are responsible for maintaining the confidentiality of their account information, including passwords. FSC is not responsible for any unauthorized access or use of your account. Any misuse of an account may result in suspension or termination of the account.

Legal Terms and Liabilities

Limitation of Liability
FSC and its affiliates, employees, or agents are not liable for any direct, indirect, incidental, consequential, or exemplary damages arising from the use or inability to use the Site or its products. This includes, but is not limited to, loss of profits, data, or goodwill. In jurisdictions where limitations of liability are not permitted, FSC's liability is limited to the maximum extent allowed by law.

Indemnification
You agree to indemnify and hold harmless FSC, its officers, directors, and employees, from any claims, damages, liabilities, or expenses (including attorney fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

Dispute Resolution - Arbitration Agreement
All disputes arising from or related to these Terms will be resolved through binding arbitration, as described under the American Arbitration Association ("AAA"). Any arbitration will take place in your county of residence unless agreed otherwise. Neither party will join claims or participate in class actions. The arbitration process is final and binding. This transaction and arbitration are governed by the Federal Arbitration Act (FAA).

Third-Party Services
FSC uses third-party services, such as payment processors and delivery companies, to complete your orders. FSC is not responsible for the performance of these third-party services, including but not limited to delivery delays, payment errors, or security breaches.

Promotions and Limitations

Promotions and Discounts
Promotional offers, discounts, and coupon codes are subject to expiration and may only be applied according to the terms of the promotion. FSC reserves the right to modify or cancel promotions at any time.

Limitation on Orders
FSC reserves the right to limit the quantity of meals or products purchased per person, per household, or per order at its sole discretion. FSC may reject orders for any reason, including but not limited to limited product availability or suspected fraud.
